FutureResume, LLC. ("FutureResume") may change these Terms at any time by posting an updated version to this Web page.   Any such revision will become effective immediately upon posting. You should visit this page periodically to review the most current Terms because they are binding on you.  The terms "you" and "User" as used herein refer to all individuals and/or entities accessing FutureResume.com for any reason. The term “post” as used herein shall mean information that you submit, publish or display on any FutureResume website.

You agree to be bound by these Terms, including the FutureResume Privacy Statement.

1. Proper Use.   You must use FutureResume.com in compliance with all applicable laws.  In particular you must be eighteen years of age or older, to visit or use FutureResume.com.  In particular, because FutureResume.com involves employment searches and hiring, all screening, hiring and resumes posted must not violate any applicable employment laws, including laws regarding discrimination on any prohibited bases, and you agree that you shall not use FutureResume.com in any way that violates such laws.  FutureResume has the right, but no obligation, to screen any content or use of FutureResume.com to evaluate whether any use or content may violate law, and terminate such users’ rights to use FutureResume.com and remove content, without prior notice.  Employers are solely responsible for their postings on FutureResume Sites. FutureResume is not to be considered to be an employer with respect to your use of any FutureResume.com and FutureResume shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on any FutureResume.com.

2. Prohibited Uses.  The resume database and job listings ("FutureResume Resume Database") and other features of FutureResume.com may be used only for lawful purposes by individuals seeking employment and career information and employers seeking employees. FutureResume Networking and Profiles may be used only for lawful purposes by individuals to network for personal or professional purposes with other individuals.

FutureResume specifically prohibits any improper use of FutureResume.com, and you shall not:

• (a) post misleading content or jobs; 
• (b) post  jobs on any FutureResume Site for competitor of FutureResume;
• (c) use any FutureResume to sell or promote any products or services;
• (d) use FutureResume for commercial recruitment, executive search, staffing, outsourced employment or any other professional employment or recruitment activity;
• (e) post or submit to any FutureResume Site any incomplete, false or inaccurate biographical information;
• (f) post on any FutureResume Site any business opportunities, pyramid scheme, or sales representative agency arrangement;
• (g) delete or revise any material posted by any other person or entity;
• (h) take any action that imposes an unreasonable load on any FutureResume Site's infrastructure;
• (i) decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of any FutureResume website;
• (j) copy or duplicate in any manner any the FutureResume content; or
• (k) frame or link to any FutureResume Content or information available from any FutureResume Site.  If you believe that something on the Site violates these Terms please contact us immediately.

3. Content Use. You may view and access a single copy of the content available on FutureResume.com for your own use. The contents of FutureResume.com and any related sites, ( "FutureResume Content"), are protected under applicable law. All FutureResume Content is the property of FutureResume or its content suppliers or clients. The collection, arrangement and assembly of all content on the FutureResume is the exclusive property of FutureResume and is protected by United States and foreign copyright, trademark, and other laws. Unauthorized use of the FutureResume Content may violate these laws, and is strictly prohibited. You cannot sell or modify the FutureResume Content or reproduce, display, publicly perform, distribute, or otherwise use the FutureResume Content in any way for any public or commercial purpose.  You understand and acknowledge that you have no ownership rights in any FutureResume account, and that if you cancel or terminate an account, listing or posting, all your account information including resumes, video resumes, profiles, cover letters, contacts and email lists, may be deleted.

4.  Restrictions. You not use any FutureResume Site in order to transmit, post, distribute, store or destroy material, including without limitation, content on FutureResume:

• (a) in violation of applicable law,
• (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the privacy, publicity or other personal rights of others, or
• (c) that is defamatory, obscene, threatening, abusive or hateful.  

You are prohibited from violating or attempting to violate the security of FutureResume.com, including without limitation, the following activities:

• (a) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to any FutureResume Site, overloading or spamming; or
• (b) accessing or trying to access data not intended for you to access. FutureResume regards these matters very seriously, and will investigate and cooperate with law enforcement authorities in prosecuting anyone who takes part in these actions. 

Not all products and services may be available in all geographic areas.  

5. Third Parties. FutureResume.com may contain links to web sites controlled or offered by third parties (non-affiliates of FutureResume.com). FutureResume.com disclaims liability for, any information, materials, products or services posted or offered at any of the third party web sites linked to this web site. By providing any links to third party web sites,FutureResume.com does not endorse or recommend any products or services offered or information contained therein, nor is it liable for any failure of products or services offered or advertised at those web sites. Such third party may have a privacy policy different from FutureResume.com and the third party web site may provide less security. 

You understand and acknowledge that you have no ownership rights in your FutureResume Account, and that if you cancel your FutureResume Account, all your account information from FutureResume, including resumes, Profiles, cover letters, network contacts, saved jobs, questionnaires and email mailing lists, will be marked as deleted in FutureResume's databases and will be removed from any public area of the FutureResume Sites. Information may continue to be available for some period of time because of delays in propagating such deletion through FutureResume's web servers. In addition, third parties may retain cached copies of your Information.

6.  Video Services.  FutureResume allows users to upload video content related to their resumes, profile, company profile and contents ancillary and incidental thereto to be hosted by FutureResume ("Video Content") which may be configured by applicable FutureResume technology for public display on FutureResume, and FutureResume's affiliate's websites and for the public posting, viewing and sharing of the Video Content.   FutureResume's video service is a not a private service and it is hereby clarified that once you submit Video Content for inclusion into the FutureResume website, it may be accessible by the public at large, and that there is no confidentiality or privacy with respect to the Video Content uploaded.  Further, registered users of FutureResume Website also agree and acknowledge that their Video Content submitted to FutureResume Video Service may, in FutureResume's discretion, appear on local FutureResume Video websites in other countries.

You promise that you have the necessary licenses, rights, consents, and permissions to use and authorize FutureResume to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all Video content and that you also have the necessary written consent, release, or permission to use or post any such video content. You will not include any video content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, pornographic, offensive, indecent, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable. You grant FutureResume a worldwide, non-exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the submitted video content in connection with the FutureResume website and its affiliates business, including without limitation for promoting FutureResume in any manner whatsoever. You also grant FutureResume a non-exclusive license to access their video content through FutureResume website, and to use, reproduce, distribute, prepare derivative works of, display and perform such Video content through FutureResume Website and under these Additional Terms of Use.  You will not submit any video content that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the content.

FutureResume does not verify the genuineness, accuracy or otherwise endorse any Video content or any opinion, recommendation, or advice expressed therein, and FutureResume hereby expressly disclaims any and all liability with respect to the video content inclusions in FutureResume website. FutureResume does not permit copyright infringing activities and infringement of intellectual property rights, and FutureResume reserves the right of deletion or removal of any content without prior notice if it comes to FutureResume's knowledge or if it is notified that such video content infringes or violates any third party’s trademark, copyright or any other intellectual property right. FutureResume also reserves the right to decide whether a particular video Content or material is appropriate and complies with the Terms of Use. You may be liable if your video content submissions are not genuine, inaccurate, offensive, indecent, or objectionable, and you also agree to waive, and hereby do waive, any legal or equitable rights or remedies they have or may have against FutureResume with respect thereto, and agree to indemnify and hold FutureResume and its affiliates and licensors, harmless to the fullest extent allowed by law regarding all matters related to their video content submission. FutureResume reserves the right to sell, license and display any advertising, promotional and distribution rights in connection with the video content and other material submitted in FutureResume Website and FutureResume will be entitled to retain any and all revenue generated from any sales or licenses of such advertising, promotional or distribution rights. 

Employers and Recruiters shall not use video submissions to exclude any user or jobseeker from employment consideration on the basis of any improper basis, or on any basis prohibited by applicable law.

7. Content. You are solely responsible for information or content  you supply, such as job postings, Profile, content (including, without limitation works in any form, media, or technology whether now known or later developed), messages, audio, video, photos, text, images, compilations or other information ("User Content") that you post on FutureResume. You will not impersonate any person, or submit any materials to FutureResume that are false, inaccurate, misleading, unlawful, or are otherwise in violation of your obligations under these Terms.  By posting content, you automatically grant to FutureResume and its affiliates an irrevocable, royalty-free, perpetual, fully paid non-exclusive right (including moral rights) and worldwide license to use, copy, reproduce, modify, adapt, publish, translate, communicate to the public, perform, display, and distribute such content (in whole or in part) and to prepare derivative works of, or incorporate into other works (in any form, media or technology now known or later developed, for the full term of any rights that may exist in such content) such User Content, and to grant and authorize sublicenses thereof (through multiple tiers). You also represent and warrant that you have the right to grant such rights, and grant the same rights and make the same reorientations as provided for video content in Section 7, above.

8.FutureResume Role. FutureResume acts as a passive conduit for the online distribution and publication of your content.  FutureResume does not guarantee the accuracy of User Content.  FutureResume has no obligation to screen User Content, communications or information in advance and is not responsible for screening or monitoring User Content posted by Users. However, FutureResume at its option may review and remove any User Content that, in its sole judgment, violates these Terms, applicable law, or is abusive, disruptive, offensive or illegal, or violates the rights of, or harms or threatens the safety of, Users of FutureResume.com. FutureResume may, but is not obligated to,  take any action with respect to User Content that it deems appropriate in its sole discretion if it deems it better for FutureResume.com that it is removed. Some examples of such content is as follows:

• (a) content that endorses or promotes racism, bigotry, discrimination, bias or hatred or physical harm of any kind against any group or individual;
• (b) promotes illegal or unauthorized activities, including making available pirated software,
• (c) harasses, incites harassment or advocates harassment of any group or individual;
• (d) involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";
• (e) endorses misleading information or conduct that is abusive, threatening, obscene, defamatory or libelous;
• (f) displays or links to pornographic, indecent or sexually explicit material of any kind; or
• (g) provides or links to material that exploits people under the age of 18 in a sexual, violent or other manner.

We appreciate hearing from our Users and welcome your comments regarding our services and the FutureResume Sites. Please be advised, however, that our policy does not permit us to accept or consider creative ideas, suggestions, inventions or materials other than those which we have specifically requested. While we do value your feedback on our services, please be specific in your comments regarding our services and do not submit creative ideas, inventions, suggestions, or materials. If, despite our request, you send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively the "Submission"), the Submission shall be the property of FutureResume. None of the Submission shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any Submission. FutureResume shall own exclusively all now known or later discovered rights to the Submission and shall be entitled to unrestricted use of the Submission for any purpose whatsoever, commercial or otherwise, without compensation to You or any other person.

9. Password. You are responsible for maintaining the confidentiality of all passwords and account information. You shall be responsible for all uses of your FutureResume.com registrations and passwords, whether or not authorized by you. You agree to immediately notify FutureResume of any unauthorized use of your employer account, FutureResume Account, Profile or passwords.

10. Limited Liability. FutureResume.com acts as a conduit for employers to post job opportunities and candidates to post resumes and video content.  FutureResume does not screen or censor the listings, and is not involved in the creation of content or the actual transaction between employers and candidates. FutureResume does not control User Content, and does not review or evaluate the quality, safety or legality of jobs or resumes posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings.  FutureResume cannot guarantee and does not promise any specific results from use of FutureResume.com or any FutureResume Site. No advice or information, whether oral or written, obtained by a User from FutureResume or through or from FutureResume.com or any other FutureResume Site shall create any warranty not expressly stated herein.

FutureResume makes no representations about any jobs, resumes or User Content on FutureResume.com.  There are inherent risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other Users with whom you come in contact through FutureResume.com. Content from users may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. You agree to use caution and common sense when using FutureResume.com. Because authentication on the Internet is difficult, FutureResume does not confirm that each User is who they claim to be. You release FutureResume (and its affiliates and employees) from claims, demands and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

You waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

11. No Warranty/Waiver. FUTURERESUME DOES NOT WARRANT THAT ANY FUTURERESUME.COM SITE WILL OPERATE ERROR-FREE OR THAT ANY FUTURERESUME SITE AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. FUTURERESUME IS NOT RESPONSIBLE FOR COSTS FROM YOUR USE OF FUTURERESUME.COM OR ANY FUTURERESUME CONTENT.   THE FUTURERESUME WEBSITE AND FUTURERESUME CONTENT ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. FUTURERESUME, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT. FUTURERESUME MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE FUTURERESUME CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS.  IN NO EVENT SHALL FUTURERESUME OR ITS AFFILIATES, BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE ANY FUTURERESUME SITE AND THE FUTURERESUME CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FUTURERESUME IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Limitation of Liability. FUTURERESUME'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY FUTURERESUME SITE OR YOUR USE OF THE FUTURERESUME CONTENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), WILL NOT EXCEED $250.

13. Indemnity. You shall defend, indemnify, and hold harmless FutureResume, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any User Content or other material you provide to any FutureResume Site, (ii) your use of any FutureResume Content, or (iii) your breach of the terms of these Terms. 

14.  Notice and Procedure for Making Claims of Copyright Infringement.  If you believe that your work has been copied in a way that constitutes copyright infringement, please provide FutureResume the written information specified below:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
• A description of the copyrighted work that you claim has been infringed upon;
• A description of where the material that you claim is infringing is located on the site;
• Your address, telephone number, and e-mail address;
• A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

15. Miscellaneous. The laws of the State of California, USA govern the terms of use of this Agreement.  FutureResume makes no claims that the FutureResume Content may be lawfully viewed or accessed outside of the United States. Jurisdiction for any claims arising under this agreement shall lie exclusively with the state or federal courts within Orange County, California, and you agree that is the appropriate venue for all such claims.  No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. If any part of these Terms are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. These Terms constitute the entire agreement between you and FutureResume with respect to the use of FutureResume.com. No changes to these Terms shall be made except by a revised posting on this page.

16. Term and Termination. These Terms will remain in full force and effect while you use of FutureResume.com. These Terms constitute a binding agreement between you and FutureResume, and is accepted by you upon your use of the FutureResume Site.
